Michael C. Morgan
With a long-distinguished career of practicing tax law, estate planning and business law and a partner with prominent law firms in downtown Toronto, Michael later relocated his practice to the Burlington/Oakville area and is currently associated with and Senior Counsel with the law firm of Green Germann Sakran.
As the leader of the Corporate Law group, and the leader of the firm’s Tax Law practice, Michael assists clients in achieving their business and personal objectives in connection with a broad range of activities, including:
- tax structuring for businesses: in connection with the establishment of businesses (including professional corporations); the reorganization of corporations; the purchase & sale of businesses; and tax considerations involved in commercial real estate transactions
- business succession arrangements: involving the transfer of family-owned businesses between generations or to key employees
- business law advice: regarding business transactions, such as start-up/incorporation, amalgamation and winding-up, as well as the preparation and review of partnership agreements and shareholder agreements
- planning for wealth preservation: including “estate freeze” reorganizations and “crystallization” (of capital gains exemption) transactions
- estate planning: involving the structuring and preparation of wills (including “multiple wills”), powers of attorney and trusts (such as family trusts).
Michael is frequently asked to advise accountants, investment advisers, financial planners and insurance advisers regarding tax planning strategies and estate planning strategies for their clients. As well, he is a frequent speaker on a broad range of tax planning, estate planning and business succession planning topics to professional organizations, including The Law Society of Ontario, the Ontario Bar Association, the Canadian Tax Foundation and the Halton County Law Association. He has also been a part-time professor at Queen’s University Law School and an instructor in the Ontario Bar Admission program.
After graduating from the Business Program at University of Toronto, Michael then graduated from the Faculty of Law at University of Toronto (focusing on Business Law and Tax Law) – and during his career he earned a Masters-in-Law in Taxation from Osgoode Hall Law School.
Michael is active in community-based organizations in the Burlington area, formerly serving on the board of directors of the Burlington Performing Arts Centre and currently on the board of directors of his church.
Michael’s personal interests include travel (particularly to beach destinations), sports (especially golf, hockey and baseball), music (attending concerts) and exercising (particularly swimming).
